END USER LICENSE AGREEMENT (EULA)
MCR Digital Audio Technologies
General EULA for free and paid products English version — October 16, 2026 Applicable to licenses for which this Agreement is presented and accepted. It does not by itself modify previous licenses.
This End User License Agreement (the “Agreement”) is a legal agreement between you (the “User” or “you”) and Pablo Sebastián Governatori, an individual based in Argentina operating under the trade name MCR Digital Audio Technologies (“MCR,” “we,” or “our”), and governs the use of software products and audio plugins, including their installers, updates, documentation, presets, and related materials provided by MCR Digital Audio Technologies (collectively, the “Software”).
This Agreement will be made available before the acquisition of a paid license and before installation of the Software. The installer will display the text and require the User to select “I Accept” before allowing installation to continue. Merely visiting the website or receiving the installer does not constitute acceptance. If you disagree, do not proceed with installation or use the Software.
1. LICENSE GRANT
Subject to compliance with this Agreement, MCR Digital Audio Technologies grants you a limited, non-exclusive license to install and use the Software. The license may be transferred only with MCR's prior written authorization, unless a mandatory applicable rule provides otherwise, and may be terminated only in accordance with Section 12.
The standard license for a paid product is perpetual for the version lawfully acquired and does not require a subscription or recurring payments to retain the right to use that version. Standard free licenses also have no expiration date. Both are subject to Section 12. A perpetual license does not guarantee perpetual updates, support, or compatibility.
For paid products, the license is conditional on payment of the corresponding price to MCR or the authorized seller. Any activation or connection requirements must be disclosed before acquisition and may not be introduced retroactively to restrict the rights granted.
To request an authorized transfer, contact contact@mcraudiotech.com. An authorized transfer requires the previous license holder to stop using the Software and delete their copies and, if any, activations, and the new holder to accept the applicable license terms. MCR will communicate the procedure before the transfer is completed.
Unless otherwise specified for a particular product, a single-user license may be installed and used on up to three (3) devices owned by or primarily under the control of the same licensed user.
The license is granted to the individual or legal entity that lawfully obtained the Software.
2. COMMERCIAL USE
The Software may be used for personal and commercial audio production, including music production, recording, mixing, mastering, post-production, broadcasting, live performances, sound design, and other professional audio applications.
MCR Digital Audio Technologies claims no ownership, copyright, royalties, share, or other rights in the audio, music, recordings, productions, or other creative works made using the Software.
You retain all rights to which you are entitled in your creative work.
3. FREE SOFTWARE
Products expressly identified by MCR as free are licensed free of charge for personal and commercial use under this Agreement. Its free-of-charge status does not transfer ownership of the Software or remove its protection under copyright and other intellectual property rights.
Without MCR's prior written authorization, you may not sell, sublicense, host, redistribute, re-upload, publish copies of, or make the Software or its installer available to third parties, or include them in third-party bundles, collections, installers, or other products or services, whether free or paid.
The Software must be obtained through https://mcraudiotech.com or channels expressly authorized by MCR. Sharing a link to an official channel does not constitute redistribution of a copy.
The free license is personal to the individual or legal entity that lawfully obtained it and is non-transferable, unless MCR gives prior written authorization or a mandatory legal provision provides otherwise. Section 1 applies to authorization requests.
The restrictions in this section and Section 4 do not apply to the extent that they conflict with rights recognized by mandatory rules or rights granted by applicable third-party licenses under Section 6.
4. RESTRICTIONS
You may not:
- Sell, sublicense, rent, lease, lend, share, or otherwise transfer the Software or its license, except where expressly authorized by MCR.
- Distribute, upload, host copies of, republish, or make the Software or its installers available through unauthorized websites, file-sharing services, repositories, or other distribution systems.
- Circumvent, disable, remove, or interfere with licensing, activation, copy protection, authentication, or security mechanisms.
- Modify the Software for unauthorized redistribution.
- Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the Software's source code, algorithms, models, proprietary processing methods, or protected technology, except to the extent that applicable law prohibits imposing that restriction.
- Use MCR trademarks, product names, logos, artwork, or identity elements in a way that falsely suggests authorization, affiliation, or endorsement.
5. OWNERSHIP AND INTELLECTUAL PROPERTY
The Software is licensed, not sold.
MCR Digital Audio Technologies and its licensors retain all rights, title, and interests in the Software, including its source code, object code, digital signal processing (DSP) technology, algorithms, models, graphical interfaces, designs, documentation, trademarks, logos, product names, and other intellectual property.
Purchasing or obtaining a license does not transfer ownership of the Software or its underlying technology.
6. THIRD-PARTY TECHNOLOGY
Certain components of the Software may incorporate or interact with technologies, libraries, frameworks, formats, or services provided by third parties.
Those components may be subject to additional third-party license terms. Nothing in this Agreement is intended to restrict rights granted by applicable open-source or third-party licenses.
VST is a trademark of Steinberg Media Technologies GmbH. AAX is a trademark of Avid Technology, Inc. Audio Unit and macOS are trademarks of Apple Inc. Other trademarks belong to their respective owners.
7. UPDATES AND CHANGES
MCR Digital Audio Technologies may provide updates, maintenance releases, bug fixes, improvements, or new versions of the Software.
Updates may modify features where reasonably necessary for compatibility, security, performance, or maintenance. MCR will disclose material changes before installation. This provision does not authorize MCR to retroactively reduce the rights or advertised essential features associated with an acquired license.
New terms for future products or versions must be disclosed before acquisition and accepted where appropriate. Replacing this Agreement on the website does not by itself change the terms of an existing license.
Unless otherwise stated, Software updates will remain subject to this Agreement.
A product license does not automatically grant a license to another product, a major upgrade, or a separately sold product.
8. SYSTEM REQUIREMENTS AND COMPATIBILITY
Compatibility information and system requirements may change as operating systems, digital audio workstations (DAWs), plugin formats, processors, and third-party technologies evolve.
MCR Digital Audio Technologies does not guarantee permanent compatibility with all operating systems, DAWs, host applications, computer architectures, or third-party products.
Users are responsible for checking compatibility with their systems before purchasing or installing the Software.
9. DISCLAIMER OF WARRANTIES AND MANDATORY RIGHTS
To the maximum extent permitted by applicable law, the Software is provided “AS IS” and “AS AVAILABLE,” with any errors or defects it may contain and without additional express or implied warranties, including warranties of merchantability, satisfactory quality, or fitness for a particular purpose, only where their exclusion is legally valid.
MCR does not warrant that the Software will operate uninterrupted, be entirely error-free, meet the User's particular needs, or be compatible with every combination of hardware, operating systems, DAWs, drivers, or third-party applications.
These exclusions do not affect mandatory warranties, conformity rights, remedies, or consumer protections. Nor do they permit MCR to disregard expressly offered features, characteristics, or terms where these are enforceable under applicable law. In the event of a conflict, those rights and obligations prevail over the expressions “AS IS” and “AS AVAILABLE.”
10. LIMITATION OF LIABILITY
Only to the extent that applicable law validly permits these exclusions, MCR will not be liable for indirect, incidental, special, or consequential damages arising from the use of or inability to use the Software, including lost profits and loss of revenue, business opportunities, data, projects, recordings, or production time, where such losses fall within categories of damages that may lawfully be excluded. Listing them does not by itself determine their legal classification or exclude damages that must be compensated by law.
Subject to the exceptions in the following paragraph, and only to the extent legally valid, MCR's total aggregate liability arising from this Agreement or the Software is limited to the amount actually paid by the User to MCR or an authorized seller for the Software license giving rise to the claim. For free licenses, that amount is USD 0.00 (zero United States dollars). This cap applies only where the law permits liability to be limited to that amount, including where this entails a complete exclusion; free-of-charge distribution is not by itself grounds for excluding liability.
The above exclusions and cap do not apply to willful misconduct or gross negligence by MCR or persons for whom it is responsible; damage to life, physical integrity, or health; or any liability, warranty, remedy, or consumer right that cannot lawfully be excluded or limited. Nor do they apply where they constitute an unfair term or violate mandatory rules, good faith, or public policy.
If an exclusion or the applicable cap, including the USD 0.00 cap for free licenses, is invalid or inapplicable, the corresponding liability will be determined under applicable law, without using this section to reduce mandatory rights. Professional use of the Software does not by itself place the User outside consumer protection. The measures in Section 11 do not eliminate legally enforceable liability.
11. BACKUPS AND TESTING BEFORE CRITICAL USE
The User must maintain appropriate, up-to-date backups of sessions, recordings, presets, projects, and other important data, and verify that they can be recovered. Before installing or updating the Software, the User must back up projects and settings that may be affected.
Before relying on the Software in a professional session, production, broadcast, live performance, or other critical use, the User must test its operation and stability in the specific hardware, operating system, DAW, driver, and other plugin configuration to be used. Testing must be repeated after relevant changes to that configuration or Software updates.
For critical uses, the User must plan reasonable operational alternatives in the event of failure, such as project copies, rendered audio versions, or a backup configuration, according to the needs of their activity.
These obligations are preventive measures and do not constitute acceptance of all risks or a waiver of mandatory warranties or rights. Any failure to comply and its consequences will be assessed under applicable law, without automatic release of MCR from liability.
12. TERMINATION
This Agreement remains in effect until terminated.
MCR may terminate your license for a material breach of this Agreement, subject to applicable law. MCR will communicate its reasons and provide a reasonable opportunity to remedy the breach where possible and legally appropriate. This does not create a right to revoke at will a perpetual license whose holder complies with the Agreement.
Upon valid termination, you must stop using and uninstall the copies covered by the terminated license. Termination does not transfer rights in your creative works to MCR or prevent you from exploiting recordings lawfully produced before termination.
Termination does not affect provisions that by their nature must survive, including those concerning intellectual property, applicable liability rules, and applicable restrictions.
13. PRIVACY
Personal data processing related to the website, purchases, delivery, licenses, support, and the newsletter will be described in MCR's applicable Privacy Policy and the notices corresponding to the service or product.
Any connection, activation, or license validation requirements and any data processing performed from within the Software must be specifically disclosed before acquisition or installation. This Agreement does not by itself authorize data collection, telemetry, or access to the User's files, nor does it state that all products work offline.
MCR may use authorized providers for sales, payments, delivery, and support, whose involvement and data processing must be disclosed. Providing an email address to acquire or receive the Software or accepting this EULA does not by itself constitute consent to subscribe to the newsletter or receive advertising.
14. PURCHASES, DELIVERY, AND REFUNDS
Products may be offered through MCR's official website or authorized channels. Before a purchase is completed, the product and version, price, currency, applicable taxes or charges, responsible seller, delivery procedure, and applicable refund and withdrawal terms will be disclosed.
Sales, payments, taxes, delivery, and refunds may be managed through an authorized seller acting as merchant of record or through service providers. The relevant channel's terms must be available before purchase and may not reduce mandatory rights. MCR does not assume that all sales are managed through the same provider.
Standard paid licenses are perpetual for the version acquired, in accordance with Section 1; they are not subscriptions. For free products, there is no license purchase amount to refund. Free-of-charge distribution does not eliminate warranties, remedies, or other mandatory rights.
Downloading, installing, or accepting this EULA does not by itself imply a waiver of withdrawal, refund, or remedy rights. Where the law permits an exception to the right of withdrawal for digital content, it may apply only if its specific requirements for information, consent, and documentation are met; this Agreement does not replace that procedure.
15. GOVERNING LAW
This Agreement is governed by the laws of the Argentine Republic, without prejudice to mandatory rules and consumer protections applicable in the User's country of residence.
Disputes will be submitted to the competent authorities or courts under applicable legal rules. This Agreement does not require the User to waive any jurisdiction or consumer protection procedure to which they are entitled under mandatory rules.
16. SEVERABILITY
If any provision of this Agreement is held invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
17. ENTIRE AGREEMENT
This Agreement, together with product-specific license terms, privacy notices, and applicable purchase and delivery terms, constitutes the agreement governing your license and use of the Software.
Product-specific terms expressly presented by MCR before acquisition or installation may supplement this Agreement. They may not reduce mandatory rights or retroactively modify an existing license. Making privacy notices available does not replace any legally required consent.
